Cleanout Sales — Terms of Use

Welcome to Cleanout Sales (“Cleanout Sales,” “CS,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of CleanoutSales.com, including listing pages, member accounts, purchase pages, dashboards, in-person purchase request pages, payment features, and related services (collectively, the “Platform”).
By creating an account, browsing listings, purchasing an item, submitting an in-person purchase request, making a payment, or otherwise using the Platform, you agree to these Terms.
If you do not agree to these Terms, do not use the Platform.
Cleanout Sales is an independent business operating in the State of Florida.
1. Platform Overview
Cleanout Sales offers items sourced from cleanouts, estates, moves, downsizing, storage situations, businesses, surplus inventory, collections, and other sources.
Listings are created and managed by Cleanout Sales or authorized Cleanout Sales personnel or collaborators. Cleanout Sales is not currently a public seller marketplace, and ordinary members do not have the ability to list items for sale.
Items may be purchased online through the Platform or, when available, users may submit a request to purchase an item in person.
Most items are local and may be one-of-a-kind. Availability can change at any time.
2. Eligibility and Accounts
To use account-based or purchasing features of Cleanout Sales, you must:

Be at least 18 years old;

Provide accurate and truthful information;
-
Maintain the security of your account credentials;
-
Use the Platform only for lawful purposes; and
-
Not misuse or interfere with the Platform.
You are responsible for activity conducted through your account.
Cleanout Sales may restrict or terminate account access when reasonably necessary to protect the Platform, other users, transactions, or Cleanout Sales.
3. Listings and Item Information
Listings may include titles, descriptions, photographs, condition information, measurements, pricing, price schedules, category information, and other details intended to help buyers evaluate an item.
Cleanout Sales makes reasonable efforts to describe items accurately. However, many items are used, vintage, antique, open-box, surplus, previously owned, or acquired through cleanouts or similar situations.
Minor errors, omissions, differences in color, measurements, photography, age estimates, manufacturer information, or other listing details may occur.
Buyers are responsible for reviewing the entire listing and all available photographs before purchasing.
Cleanout Sales may edit, correct, remove, pause, withdraw, or otherwise change a listing when necessary.
4. Thirty-Day Price-Drop Schedule
Eligible Cleanout Sales listings use a scheduled thirty-day price-drop model.
Each listing may include:

A Starting Price;
-
A Floor Price;
-
A Price Drop Start Date; and
-
A thirty-day price schedule.
The item price generally decreases once per calendar day according to the schedule shown on the listing.
The displayed schedule is intended to show the price applicable on each listed date. If rounding causes the displayed price to reach the Floor Price before the end of the schedule, the price may remain at the Floor Price for the remaining scheduled days.
At the end of the listing period, the item may be delisted, removed, marked unavailable, archived, donated, disposed of, relisted, or otherwise handled by Cleanout Sales.
Cleanout Sales may correct pricing errors, calculation errors, software issues, or display errors. If a material pricing error affects a transaction, Cleanout Sales may cancel or correct the transaction and refund amounts paid where appropriate.
5. Buy Now — Online Purchases
A buyer may purchase an available item online using the Buy Now option.
The applicable purchase price is the price presented by the Platform at the time the purchase process is initiated, subject to successful payment and final confirmation of availability.
Because many items are one-of-a-kind, a purchase is not complete merely because a buyer views an item, clicks a button, or begins checkout.
A transaction is considered completed when payment has been successfully processed and Cleanout Sales records the item as sold.
Once successfully purchased, the listing may remain viewable for transaction history, reference, or dispute purposes even though the item is no longer available for purchase.
6. Temporary Checkout Holds
When a buyer begins online checkout, Cleanout Sales may temporarily prevent another buyer from simultaneously purchasing the same item.
This checkout hold exists only for a limited period and is intended to allow the buyer to complete payment.
Closing or abandoning the payment window may result in the hold being released. A short technical grace period may apply before the item becomes available to another buyer.
A checkout hold is not a completed sale.
If payment is not successfully completed, the item may become immediately available to another buyer.
7. Buy In-Person Requests
Certain listings may provide a Buy In-Person option for buyers who prefer to inspect, purchase, or pay for an item locally.
Submitting a Buy In-Person request:

Does not purchase the item;
-
Does not reserve the item;
-
Does not create a guaranteed hold;
-
Does not prevent another buyer from purchasing the item online; and
-
Does not guarantee that Cleanout Sales will contact the requester before the item is sold.
Requests are generally reviewed in the order received.
Cleanout Sales may contact interested buyers by text message, telephone, email, or another method selected or provided by the buyer.
The item remains available to other buyers until Cleanout Sales expressly confirms that a hold or completed sale exists.
If Cleanout Sales agrees to reserve an item for an in-person buyer, Cleanout Sales may require a deposit or other confirmation. Whether a deposit or hold is offered, required, waived, accepted, or declined is determined by Cleanout Sales based on the item and circumstances.
A buyer may not receive a response if the item is sold before Cleanout Sales reaches that buyer's request.
8. Contact Information for In-Person Requests
Buyers submitting an in-person purchase request must provide complete and accurate contact information.
Buyers may select one or more preferred methods of communication, such as:

Text message;

Telephone call; or
-
Email.
The buyer is responsible for ensuring that submitted telephone numbers and other contact information are accurate.
Cleanout Sales is not responsible for missed communications caused by incorrect information, full voicemail boxes, blocked messages, spam filtering, carrier issues, or other circumstances outside our control.
9. Payments
Online payments may be processed through third-party payment providers.
By completing an online purchase, you authorize the applicable charge shown during checkout.
Cleanout Sales does not generally store full payment-card information when payment processing is handled by a third-party payment provider.
If a payment is declined, reversed, disputed, cancelled, fraudulent, or otherwise invalid, Cleanout Sales may cancel the transaction, restore availability of the item, restrict account activity, or take other appropriate action.
10. Purchase Records and Receipts
Completed purchases may appear in the buyer's Cleanout Sales dashboard.
Purchase records may include information such as:

Item title;
-
Purchase price;
-
Purchase date;
-
Receipt number;
-
Listing snapshot;
-
Payment reference; and
-
Other transaction information.
These records are provided for convenience and transaction history.
Buyers should retain any receipt or transaction information they consider important.
11. Local Pickup and Transfer
Cleanout Sales primarily operates as a local business.
Pickup location, timing, delivery availability, or other transfer arrangements may vary depending on the item and circumstances.
Buyers must follow instructions provided by Cleanout Sales for completing pickup or delivery.
Buyers are responsible for arriving at agreed times and, when appropriate, bringing sufficient personnel, tools, vehicles, packing materials, or equipment necessary to safely remove or transport purchased items.
Cleanout Sales may refuse or postpone a pickup or transfer if conditions are unsafe or if the buyer does not have appropriate means to remove the item.
12. Item Condition and As-Is Sales
Unless a listing expressly states otherwise, items are sold AS IS, WHERE IS, with all faults.
Items may be:

New;
-
Used;
-
Vintage;
-
Antique;
-
Open-box;
-
Incomplete;
-
Previously owned;
-
Surplus;
-
Unverified;
-
Untested; or
-
Acquired through cleanouts, estates, storage, downsizing, or similar circumstances.
Normal wear, age-related deterioration, cosmetic defects, missing packaging, unknown service history, or other imperfections may exist.
Buyers should carefully review photographs, descriptions, measurements, and disclosed condition information before purchasing.
Where inspection is important to the buyer, the buyer should use the Buy In-Person option when available rather than completing an online purchase without inspection.
13. Authenticity, Attribution and Identification
Cleanout Sales may identify or describe items based on markings, appearance, documentation, provenance, prior ownership information, research, or other information reasonably available to us.
Unless a listing specifically states that an item has been independently authenticated, appraised, tested, certified, or verified by a qualified third party, buyers should not assume that such independent verification has occurred.
Descriptions involving age, maker, origin, material, style, attribution, period, or similar characteristics may represent Cleanout Sales' good-faith assessment based on available information.
14. Returns, Cancellations and Refunds
Because Cleanout Sales primarily offers one-of-a-kind, used, estate, cleanout, surplus, vintage, antique, and similar merchandise, sales are generally final unless otherwise stated in the listing or required by applicable law.
Any applicable return or refund policy will be disclosed by Cleanout Sales through the Platform, at the place of sale, on transaction materials, or through another conspicuous method.
Nothing in these Terms limits any non-waivable rights a consumer may have under applicable law.
Cleanout Sales may issue a refund when:

A transaction cannot be completed;
-
An item is unavailable after payment;
-
A material listing or pricing error occurred;
-
A payment was collected in error;
-
Cleanout Sales determines a refund is appropriate; or
-
Applicable law requires it.
Refunds may be returned through the original payment method where practical.
15. Buyer Responsibilities
Buyers agree to:

Review listings carefully;
-
Review photographs and condition information;
-
Confirm the displayed purchase price before payment;
-
Provide accurate account and contact information;
-
Use valid payment information;
-
Follow reasonable pickup or delivery instructions;
-
Treat Cleanout Sales personnel and property respectfully;
-
Avoid fraudulent transactions or chargeback abuse; and
-
Use the Platform lawfully.
Repeated failed payments, fraudulent activity, abusive conduct, misuse of checkout, false information, or other misconduct may result in account restrictions or termination.
16. Prohibited Conduct
Users may not use Cleanout Sales to:

Commit fraud;
-
Submit false or misleading information;
-
Interfere with another buyer's transaction;
-
Abuse payment or checkout systems;
-
Attempt unauthorized access;
-
Scrape or harvest Platform data without permission;
-
Introduce malicious software;
-
Impersonate another person;
-
Harass, threaten, or abuse Cleanout Sales personnel or other users;
-
Violate applicable law; or
-
Use the Platform for any unauthorized commercial or illegal purpose.
17. User-Submitted Information and Content
Users may submit account information, contact information, messages, photographs, or other content through certain Platform features.
Users are responsible for information they submit and represent that they have the right to provide it.
Users grant Cleanout Sales a non-exclusive, worldwide, royalty-free license to use, store, reproduce, display, format, and process submitted content as reasonably necessary to operate, administer, promote, protect, and improve the Cleanout Sales business and Platform.
18. Intellectual Property
Cleanout Sales branding, logos, graphics, page designs, text, software, functionality, and other Platform materials are owned by Cleanout Sales or its licensors unless otherwise stated.
They may not be copied, reproduced, distributed, modified, or commercially exploited without permission.
19. Privacy
Use of the Platform is also governed by the Cleanout Sales Privacy Policy.
The Privacy Policy explains how Cleanout Sales collects, uses, stores, and handles personal information.
20. Communications
By submitting contact information or requesting contact from Cleanout Sales, you authorize Cleanout Sales to contact you regarding the applicable listing, request, purchase, pickup, transaction, or account matter.
Selecting text, phone, or email as an in-person request communication preference authorizes Cleanout Sales to use those selected methods for that request.
This transactional authorization does not necessarily constitute consent to unrelated promotional marketing.
21. Third-Party Services
The Platform may rely on third-party providers for payment processing, hosting, email, communications, analytics, or other functionality.
Cleanout Sales is not responsible for outages, errors, policies, failures, or acts of independent third-party providers beyond our reasonable control.
22. Platform Availability and Changes
Cleanout Sales may modify, suspend, remove, replace, or discontinue Platform features at any time.
We do not guarantee that the Platform will always operate without interruption or error.
Listings, pricing, availability, features, and functionality may change.
23. Limitation of Liability
To the fullest extent permitted by applicable law, Cleanout Sales will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Platform or purchase of an item.
Cleanout Sales is not responsible for losses caused by circumstances outside our reasonable control, including third-party service failures, incorrect buyer information, missed communications, transportation issues, or unauthorized account use.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
24. Disclaimer of Warranties
To the fullest extent permitted by law, the Platform is provided on an “as is” and “as available” basis.
Except where expressly stated or required by law, Cleanout Sales disclaims warranties regarding Platform availability, item condition, merchantability, fitness for a particular purpose, authenticity, completeness, or performance.
25. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Cleanout Sales and its owners, employees, contractors, affiliates, service providers, and representatives from claims, losses, liabilities, costs, and expenses resulting from:

Your misuse of the Platform;

Your violation of these Terms;

Your violation of applicable law or another person's rights;
-
Fraudulent or unauthorized activity associated with your account; or
-
Your conduct during pickup, transport, or interaction with Cleanout Sales.
26. Account Suspension and Termination
Cleanout Sales may suspend, restrict, or terminate an account or access to particular features when reasonably necessary because of:

Violation of these Terms;
-
Fraud or suspected fraud;
-
Payment abuse;
-
Security concerns;
-
Harassment or abusive behavior;
-
Unauthorized use; or
-
Other conduct that creates material risk to Cleanout Sales, its users, or the Platform.
27. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
28. Changes to These Terms
Cleanout Sales may update these Terms from time to time.
Changes become effective when posted unless another effective date is stated.
Continued use of the Platform following the effective date of updated Terms constitutes acceptance of those updated Terms.
